Register Invention in Vietnam

Invention means a technical solution in the form of a product or process which is intended to solve a problem by application of natural laws. Each invention is the result of a serious, painstaking work-study process by the inventor. However, right of industrial property shall only be established by the registration procedure, and the scope of protection is defined in the patent. Therefore, without prior registration at governmental competent authorities, right of industrial property could be violated.

 


Register invention in Vietnam

Required information

Title of invention/ utility solution;

Name, address and nationality of the applicant (s);

Name, address and nationality of the investor (s);

Information of priority document: Nation, number of applications and dossiers for priority right;

For dossiers applied as national application

01 original Power of Attorney – POA (No need for notarization). The Copy of POA shall be accepted for filling but the original shall be submitted within 03 months since the date of filling.

02 copies of an invention description. An invention description must consist of the section of invention description and the invention protection coverage;

02 Drawings, photos or description (if any);

01 notarized copy of document to prove prior right (only for dossiers have prior right under the Paris Convention). The document shall be submitted within 03 months since the date of filling.

For dossiers applied as PCT application.

03 English declaration for registration originating in Vietnam

02 copies of an invention description (including images, if any);

02 written request of protection;

Related documents (if any);

Dossiers can be submitted at National Office of Intellectual property or International Office or sent via post office.

How to protect intellectual property rights in Vietnam?

-From May 27th 2021, NOIP will stop receiving and releasing results of application for industrial property (IP) at NOIP (no. 386 of Nguyen Trai street, Thanh Xuan district, Hanoi). IP application and dispatches, documents submitted to NOIP office only received through online form or post.

-NOIP also stops consulting at NOIP office (386 of Nguyen Trai street, Thanh Xuan district, Hanoi). Accordingly, consulting activities on IP in general and procedure for IP application in particular, only are implemented through telephone or email.

-The receipt of application and consulting activities at Representative office of NOIP at Ho Chi Minh city and Da Nang will still go on as usual.

The tools allow a business to protect intellectual property

Intellectual property is something you have created. It is not just an idea. It must have a content. It can be material such as a design or immaterial such as a software.

To protect intellectual property in a business, different tools can be used depending on your type of creation. There are two mainly different types of protections : automatic protection and protection you have to apply for.

1 - Two types of automatic protections : Copyright and Design right

For these both protections you don’t to do any application or pay any fee. Copyright and Design right prevent people from using your work without your permission.

Copyright:
Copyright protection encompasses art, photography, web content, films, music…

To inform that your idea is protected you can mark your work with the following :

The copyright symbol : ©
Your name
The year of creation
If your country has signed international agreements, your work can be protected overseas. Usually the protection lasts around 25 years for photographs and 50 years for the other types of work.

Design right:
Design right protects the shape and configuration of your object. To benefit from this right you will have to prove the date of creation. This protection lasts 10 years once it is sold and 15 years from its creation.

2 - Application for protection : Trade marks, patents, registered designs

With the following protections you have the right to take a legal action against someone who uses your creation or invention without your permission.

Trade marks:
Logos, jingles and product names can be protected by Trademarks.The protection lasts 10 years. However it is renewable.

Patents:
A patent is an effective protection for your invention. However the process is time-consuming and very expensive. For instance your invention can be an artistic work, a playing game or a diagnosis. To benefit from this protection, your invention has to be new.

Registered designs:
By registering your design you protect its appearance, decoration or shape. The protection lasts up to 25 years (you have to renew it every 5 years).

At last, to protect your intellectual property you can also sign an non-disclosure agreement. In the contract you share confidential information that can include intellectual property. The second party is not allowed to disclose this information.

What Situations Leading to Refusal to Grant of Protection Titles to Patent, Industrial Design, Trademark and Geographical Indication?

When applicant applying for registration of a patent, industrial design, trademark and geographical indication, in some cases, National office of Intellectual Property in Vietnam (NOIP) may refuse to grant their protection titles.

In which cases, the above registration will be refused?
-There are grounds to affirm that the subject matter stated in the application does not fully satisfy the conditions for protection;
-The application satisfies the conditions for the grant of a protection title but does not have the earliest filing date or priority date. In detail, two or more applications for registration are filed by different parties for the same invention, for registration of industrial designs identical with or insignificantly different from each other, for registration of marks identical with or confusingly similar to each other, or for identical or similar goods or services, a protection title may only be granted to the valid application with the earliest priority or filing date amongst applications which satisfy all conditions for the grant of a protection title.
-The application falls into the following case but fail to have the consensus of all applicants: there are two or more applications satisfying all the conditions for the grant of a protection title and having the same earliest priority or filing date, a protection title may only be granted to a single application from such applications with agreement from all applicants. Without such an agreement, all such applications shall be refused the grant of a protection title.
In those above cases, NOIP will conduct the following procedures:
-Notify an intended refusal to grant a protection title, clearly stating the reasons and setting a time-limit for the applicant to make an objection to such intended refusal;
-Notify the refusal to grant a protection title if the applicant makes no objection or makes unjustifiable objection to such intended refusal as mentioned above;
-Grant a protection title and record it in the National Register of Industrial Property if the applicant has made a justifiable objection to the intended refusal as mentioned above.

A lot of fine tuning is involved, which could result in an effective IP system, or alternately, one that enforces privilege and disparity of wealth by denying basic things like life-saving drugs, software tools, or popular songs to those without ability to pay, that concentrates wealth by adding IP assignment terms to every employment or contractor relationship, or that suppresses innovation by denying creators access to what other creators have done. Even so, an unfair IP regime may (or may not) create wealth for a society.

How to Set up Foreign Owned Company in IT and Computer Related Service?

Further, Vietnam prioritizes and encourages development in the field of IT and computer services which is considered attracting high level of intelligence and green business. The investors have grown confidence in Vietnam’s increasingly improved legal systems to protect the Intellectual Property rights in trademark and copyright to protect the company and individuals to exploit economic benefits in IT and computer related service areas.

IT is the core foundation of smart city, intelligent transport system, intelligent education.  Computer services and related services include: consulting services related to computer hardware installation, software implementation services, data processing services, database services, services maintenance and maintenance of office machinery and equipment, including computers and other computer services.
Under Vietnam’s WTO commitments, foreign investors are allowed to set up 100% foreign-invested enterprises to conduct business in IT and computer services and related services. At the same time, it is allowed for computer service business enterprises to set up branches when there is a need to generate additional business activities at locations outside the head office of the enterprise.
To establish an enterprise with 100% foreign invested capital, investors need to apply for an Investment Registration Certificate in accordance with the Law on Investment 2014 and an Enterprise Registration Certificate in accordance with the Law on Enterprise 2014.
A dossier of application for an Investment Registration Certificate comprises: a written request for implementation of an investment project; copy of identity card, citizen identity card or passport for individual investor and copy of establishment certificate or equivalent document certifying legal status for institutional investor; investment project proposal; copies of the latest 2-year financial statements or commitment of financial support of the parent company or financial institution or guarantee of investor’s financial capacity or documents explaining the financial capacity of the house invest; a copy of the location lease agreement or other documents certifying that the investor has the right to use the project location. If the project uses technologies on the list of technologies restricted from transfer, the explanation of the use of technologies must be submitted. Within 15 days from the date of receiving the complete and valid file, the Department of Planning and Investment will issue the Investment Registration Certificate to the foreign investor.
An Enterprise Registration Certificate dossier comprises: an application for enterprise registration; enterprise’s regulations; a list of members of a limited liability company with two or more members or a list of general partners; a notarized copy of identity card or valid passport of individual member; a notarized copy of the Enterprise Registration Certificate of the organization’s member; a notarized copy of valid identity card or passport of the organization’s legal representative; copy of Investment Registration Certificate. After 03 working days from the date of receiving a complete and valid dossier, the Department of Planning and Investment will issue an Enterprise Registration Certificate.
For the establishment of a branch, a dependent unit of the enterprise, tasked to perform all or a part of the functions of the enterprise, including an authorized representative function, business lines of a branch must be consistent with the business line of the enterprise. When registering a branch operation, the enterprise must send a notice of setting up the branch to the Business Registration Office where the branch is located. A dossier of establishment of a branch comprises of a notice of establishment of a branch; branch establishment decisions; decisions to appoint branch heads; minutes of meeting of establishment of branch; copy of the Business Registration Certificate; copy of identity card or Passport of the head of branch. Within 3 working days after receiving a valid dossier, the Enterprise Registration Office shall grant a branch operation registration certificate.

What is copyright infringement?

The U.S. Copyright Office provides this definition of copyright infringement:

As a general matter, copyright infringement occurs when a copyrighted work is reproduced, distributed, performed, publicly displayed, or made into a derivative work without the permission of the copyright owner.


A copyrighted work is a literary, musical or artistic work that is fixed in a tangible medium (paper, canvas, computer file, audio or video recording, etc.). Such protection lasts for a limited period of time (in the United States, that period for works created after January 1, 1978, is the life of the author plus an additional 70 years). Protected works include poetry, novels, movies, songs, computer software, and architecture.

Copyright does not protect names, titles, slogans, short phrases, ideas, concepts, systems, or methods of doing something; however, these things may be protected as trademarks or patents.

When should a startup file for a trademark?

You should register your mark when your product already gives profit. So, when the expenses are lower than income, you should start protecting your name from the competitors.


While there exist a possibility that somebody would register the same mark for the same product, it is highly unlikely. Because:

The chances that some other person in the same country decides to register the same brand name, having no knowledge about your business, is close to 0;

If somebody else, knowing about your brand, registers it wishing to sell you the mark or illegally disrupt your business, you can sue them in court (on the grounds of bad faith).

I have seen cases, when people just at the beginning of their business invested high money in the intellectual property matters, but unfortunately, the business later failed. I believe, at the beginning there are always better fields to invest money.

You already have some-kind of protection:

While you must have knowledge about existing intellectual property rights (not to be sued yourself), protecting your own trademark can go to the second plan. Furthermore, even if trademarks are not protected without registration, there are still some legal grounds that protects you. For example:

A person who has used legally the mark before someone else registered it (legally, of cause), cannot be prevented to continue using the mark for the same scope (same goods and same territory);

If your trademark is not a generic term but an inventive word or a specific graphical image, it will be protected by the copyright law. And the copyright law does not need any registration, it is gained automatically once an original work is created. If you are a pharma company, do it, before you tell the name loud:

But, the need to register or not a trademark also depends a lot on the field where your business operates. For example, drugs industry is especially sensitive for all IP matters (patents, trademarks…). So, in this field I advice to register a mark as soon as possible. Because in the pharmaceuticals industry, the competition is really tough and it is better to have all IP protection you can.

Additional advices:

-Check for prior trademarks;
-Do not use any mark that is similar to the well-known brands (so NO “Aple”; “Cola-coca”, etc.);
-Better use a distinctive word, phrase, logo - you have stronger IP protection.

What is Intellectual Property Law?

Can a company purchase intellectual property rights?

A company can “purchase intellectual property rights.” The way that the purchase takes place varies a little, but most commonly it will be in the form of a license.


I’ll use your example of a Harry Potter video game to explain. First, the owner of a copyright (here, the author of Harry Potter) has the exclusive right to distribute her original work. Another right she owns as a part of her copyright is the exclusive right to produce derivative works. A derivative work is any work based off of the original copyrighted work. A videogame based on Harry Potter is a derivative work of the original Harry Potter books.

So, J.K. Rowling, Harry Potter’s author, is the only person in the world that can create derivative works based on Harry Potter. BUT, she can license that right to whomever she would like for a fee. This is why you see Harry Potter videogames being made and t-shirts being sold. A copyright owner can license her copyright to another — or, in other words, you can purchase the right to use a copyright from a copyright holder.

Other intellectual property rights like patents and trademarks have similar licensing schemes to allow the holder of the right to exploit his or her invention.
